This website is operated by BLUEIXIA LIMITED, company number 17298071, registered in england and wales ("BlueIxia", "we", "us").

BLUEIXIA SH.P.K is a separate company incorporated in the Republic of Kosovo. Where a service, page or arrangement relates to Kosovo, the position of that company is described in the Legal and Regulatory page and, where applicable, in the relevant contract.

The BlueIxia website and commercial services are principally directed at businesses, commercial organisations and persons acting in a professional or business capacity.

Where a user is nevertheless treated in law as a consumer, mandatory consumer protections prevail over any provision of these terms that would otherwise conflict with them.

Nothing in these terms excludes or restricts any liability, right or remedy that cannot lawfully be excluded or restricted.

Your continued use of the website constitutes acceptance of these terms as published from time to time.

Separate affirmative acceptance is required before access is granted to BlueIxia Intelligence, and the BlueIxia Intelligence Terms govern that service.

We may amend these terms from time to time. The amended version applies from the date it is published, and the date shown at the top of this page records the current revision.

Amendment of these website terms does not vary any signed client agreement. Contractual changes to a paid service follow the change mechanism in the agreement for that service.

The website is made available free of charge and on an "as available" basis. We do not guarantee that the website, or any content on it, will always be available or uninterrupted.

We may suspend, withdraw or restrict all or part of the website for business, security, legal or operational reasons.

Material published on this website is general commercial information. It is not exhaustive, may contain estimates, may change without notice and may become outdated, particularly where it reflects market conditions or third-party information.

Commercial circumstances differ materially between merchants. Information published here is not tailored to any particular business.

Website content does not constitute any of the following:

A commercial relationship with BlueIxia arises only under a separate written agreement.

BlueIxia Pricing Intelligence provides indicative commercial analysis based on information supplied by the user and any verified information available within BlueIxia Intelligence. Results are not quotations, offers, guarantees or commitments by BlueIxia or any payment provider. Actual pricing and service availability depend on the merchant profile, transaction characteristics, payment channels, card mix, risk assessment, underwriting and the relevant provider's terms.

The payment diagnostic is an indicative commercial-analysis tool. Its outputs depend entirely on the information entered by the user, may rely on assumptions, and may be incomplete where merchant statements or transaction information are incomplete or inaccurate.

Estimated savings are not guaranteed. Any rate, fee or cost displayed is indicative and is not a binding quotation. Provider pricing is subject to provider approval, and merchant eligibility remains subject to underwriting.

BlueIxia does not control any of the following:

• merchant approval or decline decisions
• pricing approval and risk classification
• reserves, security requirements and settlement terms
• transaction authorisation and chargeback outcomes
• provider availability, provider fees and provider terms
• scheme fees and interchange

You should obtain an actual quotation from the relevant provider and verify it before taking any commercial decision.

Nothing generated by the payment diagnostic constitutes a promise that a merchant will achieve any particular saving, rate, approval or commercial outcome.

BlueIxia Intelligence is an authenticated commercial analysis environment provided under the BlueIxia Intelligence Terms and, where applicable, a signed client agreement.

It provides commercial analysis, data organisation, decision support, payment intelligence, research and indicative analysis. It does not provide regulated financial, investment, legal or tax advice.

Outputs may be derived from user-supplied data, third-party data, historical information, assumptions, calculations, analytical models and automated systems. Users remain responsible for their own commercial decisions, and no output is a substitute for provider underwriting, a formal quotation, professional advice or independent due diligence.

Q provides commercial information and decision support using information available within BlueIxia Intelligence. Its outputs may include assumptions and estimates and should be considered in that context. Q does not provide legal, tax, investment, insurance or regulated financial advice. Payment pricing, eligibility, underwriting and service availability remain subject to the relevant provider.

Q is a commercial information and decision-support tool. It is not an adviser and must not be treated as one.

Q may generate estimates, apply assumptions, identify patterns and summarise information supplied by the user. Its output may be incomplete and may occasionally be incorrect, and it should not be the sole basis for any material commercial, financial, legal or regulatory decision.

Q does not make merchant underwriting or provider approval decisions. Those decisions rest with the relevant provider.

Art-market indications are informational commercial estimates and are not formal valuations, appraisals or guarantees of achievable sale price.

Art-market information published or generated by BlueIxia is commercial information only. It is not a formal valuation, an auction guarantee, an investment recommendation, an authenticity opinion, provenance certification, a title opinion or legal due diligence.

BlueIxia gives no guarantee as to the authenticity, ownership, provenance, value, future appreciation or saleability of any artwork, unless BlueIxia separately contracts in writing to provide a specific service in relation to it.

Where BlueIxia introduces, connects or supports a business in accessing payment services, those services are provided by the relevant third-party bank, acquirer or regulated payment provider under a separate agreement with that provider.

The relevant provider is responsible, in accordance with its own contractual and regulatory obligations, for matters including merchant eligibility, due diligence, KYC and KYB, underwriting, pricing approval, payment authorisation, transaction processing, settlement, chargebacks, disputes and the regulated payment service it provides.

Provider availability and the nature of BlueIxia's relationship vary by provider, market and merchant. Payment services are supplied under the relevant provider's own agreement.

Where BlueIxia describes, introduces or provides access to open-banking functionality, that functionality is supplied by an identified authorised provider.

BlueIxia is not represented as a payment initiation service provider or an account information service provider. Payment initiation and account information services are regulated services provided by the relevant authorised provider under its own terms and regulatory permissions.

Availability, transaction execution and settlement remain subject to that provider and to the relevant bank.

BlueIxia gives no guarantee in relation to:

• merchant approval or account opening
• provider availability or provider continuation
• commercial pricing, future pricing or transaction approval
• settlement timing, reserves or chargeback outcomes
• card-scheme decisions or risk classification
• technical uptime or future regulatory treatment

Provider relationships may change. A named provider may cease to be available, may amend its terms, or may decline a merchant. BlueIxia may change which provider it introduces based on merchant requirements and provider availability.

This website may link to external websites operated by payment providers, banks, card networks, publications, regulators, social platforms and other third parties.

We do not control those websites, and a link does not constitute endorsement. External services operate under their own terms and privacy policies, and we are not responsible for their content, availability, security or for changes made to them.

BlueIxia, or its licensors, owns all intellectual property rights in this website and in the materials published on it, including the BlueIxia name and marks, the BlueIxia device mark, BlueIxia Intelligence, Q, website design, text, research, methodologies, calculations, software, interfaces, reports, data visualisations, original graphics, databases and proprietary analytical materials.

Access to the website does not transfer any intellectual property right. You receive only the limited right necessary to access and use the relevant service in accordance with these terms.

BlueIxia does not claim ownership of third-party data or third-party marks referred to on this website.

You may view, download and print website content for your own internal business purposes, provided that you do not modify it and that you do not remove any proprietary notice.

Except with our prior written permission, you must not:

• copy, republish or commercially exploit website content
• scrape, systematically extract or index content otherwise than by conventional search-engine indexing
• reverse engineer or attempt to derive the underlying methodology of any BlueIxia tool
• use automated systems to extract data or place unreasonable load on the website
• use BlueIxia content to train, develop or benchmark a competing system
• misuse BlueIxia trade marks or the trade marks of any third party

The Acceptable Use Policy forms part of these terms and sets out further prohibited conduct.

Where you provide information to BlueIxia, you represent, to the extent applicable, that:

• you are authorised to provide it
• the information supplied is materially accurate and not misleading
• any document supplied has not been unlawfully obtained
• you have authority to submit any merchant statement or business record supplied
• you have any permission required to provide personal data relating to another person
• your use does not infringe the rights of any third party and is otherwise lawful
• you will not upload malware or malicious content, and will not attempt unauthorised access

Merchant statements, business records and other documents supplied to BlueIxia are used to provide the analysis or service requested.

Uploaded documents are held in restricted storage, are not published, and are made available only to authorised BlueIxia personnel and to service providers engaged to operate the service, subject to applicable data-protection obligations and contractual safeguards.

You should not upload personal information that is irrelevant to the analysis requested, and you should redact sensitive personal information where it is not required.

Analysis produced by BlueIxia depends on the accuracy and completeness of the information supplied. BlueIxia is not responsible for outcomes arising from inaccurate, incomplete or out-of-date information supplied by a user or by a third party on a user's behalf.

You must not introduce any virus, trojan, worm, logic bomb or other material that is malicious or technologically harmful, and you must not attempt to gain unauthorised access to the website, the servers on which it is stored, or any connected system.

We do not guarantee that the website or any external site will be free from viruses, and you are responsible for configuring your own information technology and security arrangements.

Where you hold credentials for BlueIxia Intelligence, you must keep them confidential, must not share them, and must notify us promptly if you suspect unauthorised use.

We may restrict, suspend or terminate access to the website or to a client platform where reasonably necessary for security, suspected misuse, maintenance, legal requirements, risk or fraud prevention, breach of these terms, or the protection of our systems or of third parties.

Contractual rights in relation to a paid service remain governed by the applicable client agreement.

To the fullest extent permitted by applicable law, the website and any publicly available tool are provided on an "as is" and "as available" basis, and all warranties, conditions and terms implied by statute or common law are excluded.

In particular, we do not guarantee:

• continuous or uninterrupted availability
• error-free operation
• the accuracy or completeness of third-party information
• that external websites are free from harmful content
• compatibility with every device or browser
• any commercial result, saving or approval
• the availability of any particular provider
• the accuracy of any statement about future market conditions

This clause does not affect any obligation expressly accepted by BlueIxia under a separate written client agreement.

Website content is not intended to be relied upon as the basis for any commercial, financial, legal or regulatory decision, and any reliance placed on it is at your own risk.

BlueIxia does not assume responsibility for independently evaluating the commercial decisions of a user, and the website, its diagnostics and its commercial analysis do not create a fiduciary, advisory or trustee relationship.

This clause is subject in all respects to the clause headed "Liabilities that cannot be excluded" below.

To the fullest extent permitted by applicable law, we shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any of the following arising out of or in connection with use of this website:

• loss of profit, revenue, business or opportunity
• loss of anticipated savings
• loss of goodwill or reputation
• business interruption
• loss or corruption of data, to the extent such liability may lawfully be excluded
• indirect, consequential or special loss
• loss caused by reliance on indicative calculations or estimates
• loss caused by a decision, act or omission of a third-party provider
• loss caused by provider downtime or third-party system failure
• loss caused by a third-party website
• loss resulting from inaccurate, incomplete or misleading information supplied by a user

Our aggregate liability arising out of or in connection with use of this website and any free tool published on it is limited, to the fullest extent permitted by applicable law, to the amount recorded as the applicable aggregate cap in the website terms schedule maintained by BlueIxia, or, where a fee has been paid to BlueIxia specifically in respect of the relevant service in the twelve months preceding the event giving rise to the claim, that amount if greater.

Liability in relation to BlueIxia Intelligence and other paid services is governed by the applicable client agreement rather than by these website terms.

Nothing in these terms excludes or limits liability for:

• fraud or fraudulent misrepresentation
• death or personal injury caused by negligence
• any other liability which applicable law does not permit to be excluded or restricted

Nothing in these terms excludes or restricts any liability, right or remedy that cannot lawfully be excluded or restricted.

If you use the website in the course of a business, you agree to indemnify BlueIxia against third-party claims, liabilities, reasonable costs and losses arising from:

• your material breach of the Acceptable Use Policy
• unlawful material uploaded or submitted by you
• infringement of third-party intellectual property rights caused by content you supply
• fraudulent or knowingly inaccurate information supplied by you
• unauthorised submission of the confidential information of a third party
• unlawful use of the website or of BlueIxia Intelligence

This indemnity does not extend to loss to the extent caused by BlueIxia's own breach, negligence or unlawful act, and is subject to BlueIxia notifying you of a relevant claim and not settling it without your consent, such consent not to be unreasonably withheld.

We shall not be in breach of these terms, nor liable for delay or failure in performance, where that delay or failure results from an event beyond our reasonable control, including:

• provider, bank or card-network outages or disruption
• internet, network, telecommunications or hosting failures
• cyber incidents affecting third-party infrastructure
• changes in law, regulatory action or sanctions
• industrial action, natural events or acts of government
• termination or withdrawal of a third-party provider service

This clause does not relieve BlueIxia of any obligation which applicable law does not permit to be excluded in this way.

We may assign or transfer our rights and obligations in connection with a reorganisation, group restructuring, business sale, merger, acquisition or transfer of the relevant business, subject to applicable law and to any applicable contractual restriction.

You may not transfer an account or any right under these terms without our prior written consent.

Nothing in these terms creates a partnership, joint venture, fiduciary relationship, employment relationship or agency between BlueIxia and a website visitor.

This clause does not affect any genuine agency or contractual appointment that exists under a separate agreement between BlueIxia and a provider.

A failure or delay in exercising a right under these terms does not waive that right, and a waiver on one occasion does not constitute a continuing waiver or a waiver of any other right.

If any provision of these terms is held to be invalid or unenforceable, that provision shall be treated as modified to the minimum extent necessary to make it valid and enforceable, or, if that is not possible, severed. The remaining provisions continue in full force so far as legally possible.

These terms, together with the Privacy Notice, Cookie Policy, Acceptable Use Policy and Third-Party Services and Trade Marks Notice, constitute the entire agreement between you and BlueIxia in relation to use of this website.

Nothing in this clause limits liability for fraud or fraudulent misrepresentation, and nothing in these website terms overrides a separately executed client agreement or a provider agreement.

Where documents conflict, the following order applies to the subject matter concerned:

• a signed client agreement, for the service it covers
• the terms of the relevant authorised provider, for the regulated service that provider supplies
• the BlueIxia Intelligence Terms, for BlueIxia Intelligence and Q
• these terms of use, for ordinary use of the website
• the Privacy Notice, for BlueIxia's privacy disclosures

Except where expressly stated, a person who is not a party to these terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of their provisions. This does not affect any right or remedy of a third party that exists or is available apart from that Act, and does not remove any right expressly conferred on a third party under a separate agreement.

These terms, their subject matter and their formation are governed by the law of England and Wales.

Services and agreements involving BLUEIXIA SH.P.K. or Kosovo-specific arrangements are governed by the law specified in the relevant contract or in the approved Kosovo terms for that service, and this clause does not vary that position.

The courts of England and Wales have exclusive jurisdiction in relation to any dispute arising out of or in connection with these terms or use of this website, save that this does not deprive a user of the protection of any mandatory rule of law of another jurisdiction that applies irrespective of this clause.
